A PC-MSO structure separates the clinical entity from the business that supports it. A professional corporation, owned by a licensed physician, employs the providers and owns the medical decisions. A management services organization handles everything that is not the practice of medicine — technology, marketing, staffing, billing operations. Done properly, it is how one brand operates lawfully in more than one state at a time.

The details are not portable. Florida does not broadly prohibit corporate practice, but it does license clinics through AHCA. Texas requires an MD or DO medical director and written delegation. California tightened the rules on management agreements effective January 2026. New York prohibits percentage-based management fees outright. We build to the state you are in, not to a template.
