Corporate practice doctrines usually arrive by inference and leave by erosion. Idaho is unusual in that you can point at the moment.
In 2016 the Idaho Board of Medicine rescinded the corporate practice of medicine. Non-physicians may own medical spas in Idaho, and the state is also a full practice authority jurisdiction, so a nurse practitioner may evaluate, diagnose, prescribe, and own and operate independently for services within NP scope.
What the rescission did not do
A licensed physician must still serve as designated medical director overseeing all medical services, and Idaho maintains detailed rules on that person’s qualifications and experience.
That combination is the reverse of the usual trade. Most open-ownership states relax the entity rule and say comparatively little about the director. Idaho relaxed the entity rule and kept specifying the person.
Two lawful models, not one
- Physician-led: a physician medical director over a business that anyone may own.
- NP-led: a full-practice-authority nurse practitioner owning and operating within NP scope.
These are different structures with different limits, and the second one narrows as soon as the menu exceeds NP scope or other licences start working under delegation and orders.
The portability warning, again
An Idaho model built on either open ownership or NP independence has no valid clinical entity in Texas, California or New York. If multi-state growth is in the plan, build the physician layer before you need it.
